Terms of Service

By using the Mindmesh website or engaging our services, you agree to these Terms of Service. Please read them carefully. These terms are governed by the laws of the United Arab Emirates.

1. About Mindmesh

Mindmesh is a digital agency based in Dubai, UAE, offering web development, Shopify store development, performance marketing, GoHighLevel CRM implementation, AI agents, and automation services to businesses in the UAE and internationally.

2. Acceptance of Terms

By accessing our website (mindmesh.co) or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our website or services.

These terms apply to all visitors, clients, and anyone else who accesses or uses our services.

3. Services

Mindmesh provides the following services, among others:

  • Website design and development
  • Shopify store setup and development
  • Performance marketing (Google Ads, Meta Ads, SEO)
  • GoHighLevel CRM setup, customisation, and automation
  • AI agent development and deployment
  • Business process automation

Specific deliverables, timelines, pricing, and scope for each project are agreed upon in a separate project brief or proposal.

4. Pricing and Payment

All prices are listed in AED (UAE Dirhams) unless otherwise stated. Pricing on our website is indicative; final pricing is confirmed in your project proposal.

  • Deposit A deposit (typically 50%) is required to commence work on any project.
  • Final payment The remaining balance is due upon project completion and before final delivery or go-live.
  • Retainers Monthly retainer services (e.g. performance marketing) are billed at the start of each billing period.
  • Late payments Work may be paused on accounts with outstanding invoices older than 14 days.

All payments are non-refundable once work has commenced, except in cases of material breach by Mindmesh.

5. Client Responsibilities

To ensure timely delivery, clients agree to:

  • Provide required content, assets, and access credentials in a timely manner
  • Designate a single point of contact for project communication
  • Review and provide feedback within agreed timelines (typically 5 business days)
  • Ensure all content and materials provided are owned by you or properly licensed
  • Not share account credentials or access with unauthorised third parties

6. Intellectual Property

Client content You retain all rights to content, logos, and brand assets you provide to us. By providing them, you grant Mindmesh a licence to use them solely for the purpose of delivering your project.

Deliverables Upon receipt of full payment, ownership of bespoke deliverables (e.g. custom website design, custom code) transfers to you, except for any third-party components, frameworks, or licences used within the work.

Portfolio Mindmesh reserves the right to showcase completed work in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.

Mindmesh materials Our website content, templates, methodologies, and internal tools remain the sole property of Mindmesh and may not be copied, reproduced, or used without written permission.

7. Confidentiality

Both parties agree to keep confidential any sensitive information shared during the course of the engagement. This includes business strategies, financial data, customer lists, and any information marked as confidential. This obligation continues for 2 years after the end of the engagement.

8. Limitation of Liability

To the maximum extent permitted by UAE law, Mindmesh's total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

Mindmesh is not liable for:

  • Loss of revenue, profits, or business opportunities
  • Indirect, incidental, or consequential damages
  • Delays caused by factors outside our reasonable control (including third-party platforms, API changes, or client delays)
  • Results from third-party advertising platforms (e.g. changes to Google or Meta algorithms)

9. No Guarantee of Results

While we strive to deliver excellent outcomes, Mindmesh does not guarantee specific results from marketing campaigns, SEO efforts, or AI-driven tools, as performance depends on many factors outside our control (market conditions, competition, platform changes, client cooperation, etc.).

10. Third-Party Platforms and Tools

Our services may involve use of third-party platforms such as GoHighLevel, Shopify, Google Ads, Meta Ads, and others. Your use of those platforms is also subject to their respective terms of service. Mindmesh is not responsible for changes to, outages of, or policy updates by third-party platforms.

11. Termination

Either party may terminate a service engagement with 30 days' written notice. Upon termination:

  • All outstanding invoices for work completed become immediately due
  • Deposits and payments for work already commenced are non-refundable
  • Mindmesh will provide handover documentation for completed work
  • Access to any Mindmesh-managed accounts will be transferred to the client upon settlement of outstanding balances

Mindmesh reserves the right to terminate services immediately for breach of these terms, non-payment, or abusive conduct.

12. Website Use

When using the Mindmesh website, you agree not to:

  • Use the site in any unlawful manner or for fraudulent purposes
  • Attempt to gain unauthorised access to any part of the site or its systems
  • Transmit any harmful, offensive, or disruptive content
  • Scrape, copy, or reproduce site content without written permission

13. Governing Law and Disputes

These Terms of Service are governed by the laws of the United Arab Emirates. Any disputes will first be attempted to be resolved amicably. If a resolution cannot be reached, disputes shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE.

14. Changes to These Terms

We may update these Terms of Service from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our services after any updates constitutes your acceptance of the revised terms.
